Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and LW Agency Limited, a company incorporated in Hong Kong (“Hushscript”, “we”, “us”, “our”), and govern your access to and use of the Hushscript website, application, and services (together, the “Service”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

The service

Hushscript provides automated audio and video transcription and related features. You can submit a recording and receive speaker-labelled text that you can edit and export. We also offer free tools that run in your browser and process files locally on your device. Transcription and certain features require an account and available credit.

The Service uses automated speech-to-text technology. Transcripts are generated by machine, may contain errors, and are provided for your convenience only – you are responsible for reviewing and verifying any transcript before relying on it. We may add, change, suspend, or discontinue any part of the Service at any time.

Eligibility

You may use the Service only if you can form a binding contract with us and are not barred from doing so under any applicable law. You must be at least the age of digital consent in your jurisdiction (at least 16 in much of the EU/EEA, 13 elsewhere) to use Hushscript. You may not use the Service if you are located in, or are a resident of, any country or territory subject to comprehensive sanctions, or if you are a person with whom we are prohibited from dealing under applicable trade-control laws. You are responsible for complying with all laws that apply to your use of the Service.

Your account

Some features require an account. You can sign in with a one-time link sent to your email address, or with an email and password. You are responsible for your account, for keeping your sign-in credentials secure, and for all activity that occurs under your account. Notify us promptly at support@hushscript.com if you believe your account has been accessed without your authorisation. We are not liable for any loss arising from unauthorised use of your account.

Your recordings

As between you and us, you keep all rights in the recordings you submit and the transcripts produced from them. We do not claim ownership of them. You authorise us to process, convert, transmit, and store your recordings and transcripts solely to operate and provide the Service to you. Audio you upload is stored only until your transcript is finished and is deleted afterwards; your transcripts remain in your account until you delete them. We do not sell your recordings or transcripts and do not use them to train machine-learning models.

You represent and warrant that, for every recording you submit, you own it or hold all rights, licences, consents, and permissions required to submit it and to have it transcribed – including the consent of every person recorded where the law that applies to you requires it. You are solely responsible for the legality of your recordings and of your use of the resulting transcripts.

We may investigate suspected violations and may suspend or terminate access for conduct we reasonably believe breaches these Terms or harms the Service, other users, or us.

Free tools

Certain tools run entirely in your browser and do not upload your files to us. They are provided free of charge and “as is”, without any warranty. Because they run on your device, their performance depends on your device and browser, and we are not responsible for their output or for any loss of files.

Credits, payment, and refunds

Transcription and paid features are billed using prepaid minute credits. To purchase credits you must add a valid payment method; payments are processed by our payment processor, Stripe. We do not receive or store your full payment card number. New accounts receive 30 free minutes, unlocked either by adding a card – which places a temporary US$1 authorisation hold that is released immediately and never charged – or by your first purchase. The free minutes let you evaluate the transcription quality on your own recordings before you buy. Credits have no cash value and are not transferable.

Prices are shown before purchase and may change from time to time; a change does not affect credits you have already bought. You are responsible for any taxes associated with your purchase. Credits remain valid until your account is inactive – meaning no credit is spent – for 180 consecutive days, after which unused credits expire and cannot be recovered; any purchase or transcription resets the inactivity clock. We email a reminder before your credits expire.

Purchased credits are delivered to your account balance immediately once your payment is confirmed. Delivery of your purchase is complete, and the sale is fully performed on our side, at the moment the credits appear on your balance. By completing a purchase you expressly request and consent to this immediate supply, and you acknowledge that once the credits have been credited, any statutory right of withdrawal, cancellation, or “cooling-off” that might otherwise apply to the purchase ends.

Except where the law that applies to you grants you a non-excludable right to a refund, all purchases are final and credits are non-refundable – including for unused or partially used credits, dissatisfaction with transcription accuracy (which is expressly not warranted – see “Disclaimers”), accidental purchases, account closure, or credit expiry. Our Refund and Return Policy sets this out in full and forms part of these Terms; it is also presented at the point of purchase. If a transcription job fails for technical reasons on our side, the credit held for that job is released back to your balance automatically; that release is your sole and exclusive remedy for a failed job. If you believe you were charged in error, contact support@hushscript.com – genuine billing errors on our side are corrected.

Referral programme

Each account may create one random, permanent referral link. If a person follows that link and then creates a genuinely new Hushscript account while the referral remains stored in their browser, that account is attributed to the link owner. An existing account cannot be referred, attribution cannot be changed, and referral credits are personal Service credits with no cash value; they are not commission, stored money, or transferable.

For the first 60 days after the referred account is registered, the referrer can receive credits equal to 20% of the base paid minutes in each eligible pack the referred user buys. Those credits remain pending for 14 days before release. The referred user’s first completed pack purchase can receive one additional bonus: 30 minutes with the 45-minute pack, 90 minutes with the 5 h (300 min) pack, 180 minutes with the 15 h (900 min) pack, or 240 minutes with the 30 h (1,800 min) pack. This bonus is added on top of other promotions but is available only on that first completed pack purchase; choosing a smaller first pack does not preserve a larger bonus for later.

Both sides’ credits for a purchase require the payment method’s fingerprint, as supplied by our payment processor, to be new to Hushscript when first used by the referred account. We store only a keyed one-way representation of that fingerprint. If the payment method was already used by another Hushscript account, or no stable fingerprint is available, neither the referred-user bonus nor the referrer’s reward is granted for that purchase. Reuse by the same account remains eligible, and we do not combine payment methods merely because they may belong to the same person.

Refunds, reversals, and payment disputes reduce or remove the referral credits associated with that purchase in the same proportion as the payment reversed. If credits have already been spent, the affected balance may become negative. Referral credits are subject to the same inactivity expiry rules as other credits. We may change, suspend, or end the programme prospectively, but doing so will not cancel eligible rewards already earned from completed payments. Anyone publicly promoting a referral link must clearly disclose that they may receive Hushscript credits from resulting purchases and comply with applicable advertising rules.

Chargebacks and payment disputes

Contact support@hushscript.com before disputing a charge with your bank or card issuer; almost every billing issue is resolved faster that way.

If you initiate a chargeback or payment dispute on a purchase: (a) the credits from the disputed payment are removed from your balance immediately, and your balance may become negative if they have already been spent; (b) your account and any remaining credits may be suspended while the dispute is investigated; (c) we contest disputes on purchases that were delivered and used, and will provide our payment processor and the card networks with records evidencing the purchase, its delivery, the policy disclosures you accepted, and your use of the Service, including technical data such as IP addresses and usage records; (d) if the dispute is resolved in our favour, the removed credits are restored and any related suspension is lifted; and (e) if the dispute is resolved against us on a purchase that was delivered and used, the purchase is treated as unpaid – the credits remain removed, your account may remain suspended or be terminated, we may refuse future purchases or service, and, where the law permits, we may recover the costs the dispute caused us, including dispute fees.

Third-party services

The Service relies on third-party providers – for example, for payment processing, communications, hosting, and bot-protection. Your use of features delivered through them may also be subject to their own terms, and we are not responsible for third-party services we do not control.

Our intellectual property

The Service – including its software, design, text, and the Hushscript name and marks – belongs to us or our licensors and is protected by law. We grant you a limited, personal, non-exclusive, non-transferable, and revocable right to use the Service in accordance with these Terms. We reserve all rights not expressly granted. If you send us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without any obligation to you.

Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by law. Without limiting this, we do not warrant that the Service will be uninterrupted, secure, or error-free, that any transcript will be accurate or complete, or that the Service will meet your requirements. You use the Service at your own risk.

Limitation of liability

To the maximum extent permitted by law:

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under the law that applies to you.

Indemnity

You agree to indemnify and hold harmless LW Agency Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your recordings, your use of the Service, or your breach of these Terms or of any law or third-party right.

Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access at any time if you breach these Terms, if we are required to by law, or if we reasonably consider it necessary to protect the Service or others. We may also suspend your account and credits while a payment dispute or chargeback is investigated, as described in “Chargebacks and payment disputes”. On termination, your right to use the Service ends. Provisions that by their nature should survive termination – including ownership, disclaimers, limitation of liability, indemnity, and governing law – survive.

Changes

We may update these Terms from time to time. We will post the updated version here with a new “last updated” date, and material changes take effect when posted. Your continued use of the Service after changes take effect means you accept them.

Governing law and disputes

These Terms, and any dispute arising out of or in connection with them or the Service, are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-laws rules. You and we submit to the exclusive jurisdiction of the courts of Hong Kong.
