Terms of Service

These Terms explain your agreement with LW Agency Limited, Hong Kong (“Hushscript”, “we”, “us”), and cover our website, application, Chrome extension, API, MCP server, and related services (the “Service”). By using the Service, you accept these Terms. If you act for an organization, you confirm that you can bind it. If you do not agree, do not use the Service.

Eligibility and accounts

You must be able to enter a binding contract, meet the minimum age required by applicable law, and be at least 13. You must not use the Service where applicable sanctions or trade controls prohibit us from serving you.

You are responsible for accurate account details, securing your credentials and access tokens, and the people and software you authorize to use your account. Apple and Google sign-in are optional alternatives to email sign-in and are subject to those providers’ terms. Report suspected unauthorized access promptly to support@hushscript.com. To the extent permitted by law, we are not responsible for losses caused by your failure to secure or control access to your account.

The service and optional features

Hushscript provides automated transcription and related tools. Account transcription requires available minutes. Insights, cleaned-up transcripts, translations, private mode, the Chrome extension, API/MCP access, referrals, and third-party sign-in are optional. Enabling an optional feature authorizes the processing needed to provide it, as described in our Privacy Policy. Features enabled in your upload settings may run automatically.

Machine-generated outputs can be inaccurate, incomplete, or misleading. Please review outputs before relying on them, particularly in legal, medical, financial, or other consequential decisions. You remain responsible for that review and your use of the results. They are not professional advice, certified records, or a substitute for human review. We do not guarantee accuracy, suitability, uninterrupted availability, or compatibility with every device or integration.

We may change, limit, suspend, or discontinue features, subject to applicable law and any express agreement with you. Prepaid minutes do not guarantee that a particular feature will remain available indefinitely.

Your content and privacy

You retain your rights in recordings and outputs; we claim no ownership. You grant us permission to process, transmit, and store your content, including through our providers, as needed to deliver and secure the Service and comply with law. This permission does not authorize selling your recordings or transcripts or using them to train machine-learning models.

We keep audio temporarily to provide transcription, then delete it after processing. Files waiting for minutes are scheduled for deletion within 4 hours if transcription has not started. Cleanup may need retries; the Privacy Policy explains these limits, transcript retention, and optional private mode. Please save copies of anything you need to keep, as Hushscript is not a permanent archive.

You must hold all rights and permissions needed to record, upload, transcribe, and otherwise process your content, including required consent from recorded people. You are responsible for your content, instructions, authorized integrations, and use or disclosure of outputs. Please check that our safeguards meet any legal or contractual requirements for your content before uploading it.

We have signed HIPAA Business Associate Agreements (BAAs) with some of our subprocessors, but these agreements do not cover the whole Service. For that reason, Hushscript does not sign BAAs with customers at this time. Please do not submit protected health information if your use requires a BAA with us.

Acceptable use

You must not:

• submit unlawfully obtained content, infringe others’ rights, or breach recording, privacy, or surveillance laws;
• gain unauthorized access, probe vulnerabilities without our authorization, upload malicious code, or disrupt the Service;
• evade payment, eligibility checks, usage limits, rate limits, sanctions screening, or other safeguards;
• share or misuse credentials, abuse free allowances or referrals, or impose unreasonable load; or
• resell or sublicense the Service, or use it to build a competing service, except as we expressly authorize.

We may investigate suspected misuse and restrict access where reasonably needed to protect the Service, users, or others.

Free tools

Our optional free browser tools process files on your device. Using a separate upload or transcription feature sends the selected content for processing. Local tools depend on your device, browser, and available storage; recovery and successful conversion are not guaranteed. Keep originals and save any output you need.

Minutes, payment, and refunds

Personal credit packs are prepaid usage allowances, not subscriptions, deposits, or stored money. They have no cash value and cannot be transferred except through features we expressly provide.

Prices and applicable charges are shown before purchase. Feature options may consume additional minutes. Price changes do not alter credits already bought. Our payment provider processes payments; we do not receive or store your full card number. You are responsible for applicable taxes disclosed at checkout or otherwise required by law.

Eligible new accounts can receive welcome minutes under the conditions on our Pricing page. Card verification, the website preview, and the eligible account’s one-time in-app preview are optional ways to evaluate the Service. A purchase may also unlock welcome minutes. Previews and free allowances do not guarantee the quality of later outputs.

Minutes do not expire, and accounts are not closed merely for inactivity. Transcript retention is separate from minute validity.

All purchases are final and credits are non-refundable, except where applicable law requires otherwise. You request immediate delivery when purchasing credits. Any loss of a statutory withdrawal or cancellation right applies only where the law permits and its required consent, acknowledgment, and other conditions have been met; crediting a balance alone does not override those requirements.

Our Refund and Return Policy forms part of these Terms. A technical failure normally releases the affected job’s credit hold to your balance. Subject to mandatory rights, that release is the remedy for the failed job, not a cash refund. If you think there is a billing error, please contact support@hushscript.com.

For Teams: separate plan charges and renewal terms are shown when you subscribe. If a plan lapses, the workspace keeps its minute balance but cannot start jobs after the grace period until the plan is renewed.

Optional referral program

Referral credits are Service allowances with no cash value. Only genuinely new accounts qualify. Attribution is fixed when the account is created from an eligible referral; existing accounts cannot be referred. Eligibility, qualifying packs, amounts, earning windows, and release timing are on our Referrals page.

Both parties’ credits require a payment-method fingerprint that is new to Hushscript when first used by the referred account. We keep a keyed one-way representation, not the raw fingerprint. A missing fingerprint or prior use by another account disqualifies the purchase; reuse by the same account does not.

Refunds, reversals, and disputes reduce related referral credits and may create a negative balance, as explained in the Refund and Return Policy. We may change or end the program prospectively without canceling eligible rewards already earned from completed payments. Public promoters must disclose their credit incentive and comply with advertising law.

Payment disputes

Contact support@hushscript.com with billing concerns. This does not restrict your right to contact your bank or card issuer. Disputed payments may lead to removal of related credits and suspension during investigation. We may provide transaction, delivery, acceptance, and usage records to payment providers and card networks to defend a claim. The Refund and Return Policy explains restoration, unpaid purchases, and recovery of legally recoverable costs of abusive disputes.

Intellectual property and third parties

We and our licensors retain rights in the Service, software, design, and marks. You receive a limited, non-exclusive, non-transferable, revocable right to use them under these Terms. Open-source components included in the Service are licensed under their own terms, listed on our Open-source licenses page, and nothing in these Terms limits your rights under those licenses. Feedback may be used without payment or obligation to you under a perpetual, royalty-free license.

Providers supporting the Service are listed in our Sub-processor List. Optional third-party accounts, tools, and integrations may have separate terms. You are responsible for choosing and authorizing integrations; we do not control their independent services.

Disclaimers and liability

To the maximum extent permitted by law, the Service and its outputs are supplied “as is” and “as available”, without express, implied, or statutory warranties, including merchantability, fitness for purpose, and non-infringement. No transmission, storage, or access-control system is completely secure.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or exemplary damages, or lost profits, revenue, data, or goodwill. Our aggregate liability arising from the Service or these Terms is limited to the amount you paid us for the Service in the 3 months before the event giving rise to the claim. These limits do not exclude liability or remedies that applicable law does not allow us to limit.

Indemnity

To the extent permitted by law, you will indemnify LW Agency Limited and its officers, directors, employees, and agents against third-party claims, losses, and reasonable legal costs arising from your unlawful content, infringement of others’ rights, or breach of these Terms. This does not cover losses caused by our own breach or misconduct or impose liability prohibited by consumer law.

Suspension, termination, and changes

You may stop using the Service at any time. We may suspend or end access for a breach, legal requirement, payment dispute, or a reasonable need to protect the Service or others. Termination ends your permission to use the Service; ownership, payment obligations, disclaimers, liability limits, indemnity, and dispute provisions survive where applicable.

We publish changes with an effective date and retain the preceding version. We give additional notice or obtain consent where required by law. Continued use after changes take effect constitutes acceptance to the extent permitted by law.

Governing law and contact

Hong Kong law governs these Terms, and the courts of Hong Kong have exclusive jurisdiction, except where mandatory consumer law gives you other rights or access to other courts. Nothing here removes protections that cannot lawfully be waived.
